Information Requests

Material describing an investment opportunity should answer the following questions:

  • What makes your product or service unique in the marketplace?
    - Why do your customers buy it?
  • How do these product or service attributes compare to the competition?
  • What makes your product or service offering sustainable?
  • What is the size and growth rate of your target market?
  • What is your share of the market?
  • What is the composition of your customer base?
  • How do you access and attract your customers?
  • Do you operate in a regulated industry?
    - If so, describe the environment and your associated regulatory status.
  • Is the company reliant on a few large customers, suppliers, or commodity prices?
    - If so, describe factors that mitigate these potential risks.
  • How do you plan to grow?
  • Who are the key members of management?
    - Provide specific examples of prior successes.
  • What are your last three years financial results (income statement, balance sheet and cashflow)?
    - Are your financial statements audited?
  • What is your three year forecast of financial results and associated assumptions?
  • Who owns the company?
Investment Process

Our investment process typically involves the following steps:

  • Sign confidentiality agreement
  • Preliminary information exchange
  • Further business due diligence
  • Detailed Letter of Intent or Term Sheet
  • Signoff by company
  • Final/confirmatory business due diligence, legal and accounting due diligence and legal documentation
  • Closing

Assuming the smooth flow of information, an investment can close within 3-6 months.
